The fintech company that allows businesses to use digital currencies and public blockchains for payments, commerce, and financial services worldwide is preparing to go public, marking an important milestone since its founding over ten years ago.

Circle Internet Group, Inc. (NYSE: CRCL) has announced the pricing of its public offering, further establishing its role in the global adoption of stablecoins such as USDC and EURC.

The company announced it will offer 10 million shares of its Class A common stock at $130.00 per share. Of these, 2 million shares will be issued directly by Circle, while 8 million shares will come from selling stockholders. Underwriters have also been granted a 30-day option to purchase up to 1.5 million additional shares.

The offering is expected to close on August 18, 2025, pending customary closing conditions.

Some of Wall Street’s most prominent investment banks are involved: J.P. Morgan, Citigroup, and Goldman Sachs & Co. LLC are jointly leading, while Barclays and Deutsche Bank Securities are bookrunners; and Canaccord Genuity, Needham & Company, Oppenheimer & Co., and Santander are co-managers.

Proceeds from the offering will support infrastructure scaling, global partnerships, and product development.

Circle’s focus on regulatory compliance and transparency distinguishes it from other cryptocurrency ventures. USDC, issued through regulated affiliates, is now among the most widely used dollar-backed digital assets globally.

Boston Startup to Global Stablecoin Leader

Founded in 2013 by Jeremy Allaire and Sean Neville, Circle began as a Bitcoin wallet and payments company with a focus on accessibility and regulatory compliance, as evidenced by its early BitLicense from the state of New York.

In 2015, the company shifted focus from direct Bitcoin payments to blockchain-powered peer-to-peer money transfers, seeking a broader audience beyond early crypto adopters. In 2018, Circle partnered with Coinbase to launch USDC—a fully reserved, regulated stablecoin quickly adopted by fintech, exchange, and DeFi platforms.

Stablecoins at the Core of the Digital Financial System

Circle’s primary products, USDC and EURC, are pegged 1:1 with their respective fiat currencies, backed by cash and short-term U.S. Treasuries. This model provides stability that is critical for payment processing, remittances, decentralized finance, and institutional settlements.

Its offering, priced at $130 per share, reflects strong institutional demand and sets a benchmark for other blockchain and fintech firms considering IPOs. The offering’s size and timing indicate increasing mainstream acceptance of stablecoins.

Selling stockholders are reducing a portion of their holdings but remain invested in Circle’s long-term strategy. The underwriter group highlights the strategic significance of this offering.

Market analysts note that this IPO comes at a pivotal time. Key factors include greater regulatory clarity in key global markets, institutions are increasingly adopting blockchain-based settlement systems, and consumer awareness is very high due to e-commerce and digital payment trends.
